"Service" refers to the AI consulting services provided by nexxoolitha, including but not limited to Discovery Workshops, Machine Learning Pipeline Engineering, and AI Governance Programs. "User" or "Client" refers to any individual or organization that accesses our website or engages our services. "We," "Us," or "Our" refers to nexxoolitha, located at 56 Sukhumvit Soi 24, Khlong Toei, Bangkok 10110, Thailand.

2. Acceptance of Terms

nexxoolitha provides AI integration consulting services for businesses operating in Thailand. Our services include facilitated discovery workshops for identifying AI opportunities, machine learning pipeline design and engineering, and AI governance and ethics program development. The specific scope, deliverables, and timeline of each engagement are defined in individual project proposals and agreements.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and complete information when requested, use our website and services only for lawful purposes, not attempt to gain unauthorized access to any part of our systems, not copy, reproduce, or distribute any content from our website without prior written permission, and comply with all applicable Thai laws and regulations in your use of our services.

5. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of nexxoolitha or its content providers and is protected by Thai and international intellectual property laws. Methodologies, frameworks, and templates developed by nexxoolitha remain our intellectual property unless otherwise specified in a written engagement agreement. Client-specific deliverables produced during engagements are subject to the ownership terms defined in the applicable project agreement.

6. Payment Terms

Service fees are specified in Thai Baht (฿) in individual project proposals. Payment terms, including milestone schedules and due dates, are outlined in engagement agreements. All fees are exclusive of applicable taxes unless stated otherwise. Late payments may incur interest at a rate specified in the engagement agreement. We reserve the right to suspend services in the event of non-payment.

7. Service-Specific Terms

Discovery Workshops: Workshop scheduling is subject to availability. Cancellations made fewer than five business days before the scheduled start date may incur a cancellation fee of up to 50% of the workshop price.

ML Pipeline Engineering: Project scope changes requested after agreement signing may result in timeline and cost adjustments. Such changes require written approval from both parties.

Governance Programs: The governance frameworks and policies we develop are designed as guidance documents. nexxoolitha does not provide legal advice, and clients should consult qualified legal counsel regarding regulatory compliance matters.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. Specific confidentiality obligations are detailed in non-disclosure agreements executed prior to each engagement. This obligation survives the termination of any engagement agreement.

9. Disclaimers

Our services are provided on an "as is" basis. While we apply professional standards and reasonable care in delivering our services, we do not warrant that AI implementations will achieve specific business results. The effectiveness of AI systems depends on numerous factors beyond our control, including data quality, organizational readiness, and market conditions. Our governance frameworks are advisory in nature and do not constitute legal advice.

10. Limitation of Liability

To the maximum extent permitted by Thai law, nexxoolitha's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific engagement in question. We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, arising from the use of our services.

11. Indemnification

You agree to indemnify and hold harmless nexxoolitha, its directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your misuse of our services, your violation of these terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate an engagement by providing written notice as specified in the applicable engagement agreement. We reserve the right to suspend or terminate access to our website for violations of these terms. Upon termination, any accrued payment obligations remain in effect, and the confidentiality provisions continue to apply.

13. Dispute Resolution

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or our services shall first be addressed through good faith negotiation between the parties. If informal resolution is not achieved within 30 days, disputes shall be submitted to the competent courts of Bangkok, Thailand.

14. General Provisions

These Terms, together with any applicable engagement agreements, constitute the entire agreement between you and nexxoolitha regarding the subject matter herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. We may not assign our obligations under these terms without your consent, except in connection with a merger or acquisition.

15. Changes to These Terms

We may update these Terms and Conditions from time to time. Material changes will be reflected by updating the "Last Updated" date at the top of this page.
